Matters to be resolved

Item No.1 : Amendment to the Articles of Incorporation

This proposal was approved and the Articles of Incorporation have been amended to the effect that the Company may enter into a limited liability agreement with, in addition to outside Directors, Directors who do not concurrently serve as Executive Officers and that the terms are consistent to the Revised Companies Act of Japan.

Item No.2 : Election of 12 Directors due to expiration of the term of office of all Directors
